1. Acceptance of Terms

Welcome to SuddenPlate ("we," "our," or "us"). By accessing or using the SuddenPlate mobile application and web platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and SuddenPlate. By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

2. User Accounts and Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept all responsibility for activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. You are solely responsible for all activity that occurs under your account, and you must keep your account password secure.

We reserve the right to refuse registration or to cancel an account at our discretion, including if we believe the account violates these Terms or applicable law.

3. User Content

The Service allows you to create, upload, and share content including recipes, meal logs, food photos, pantry items, and other materials ("User Content"). You retain ownership of your User Content.

License Grant

By submitting User Content to the Service, you grant SuddenPlate a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service and promoting SuddenPlate.

Content Standards

You represent and warrant that your User Content:

  • Does not violate any third-party rights, including copyrights, trademarks, or privacy rights
  • Does not contain illegal, harmful, or offensive material
  • Does not contain viruses, malware, or other harmful code
  • Is accurate and not misleading (particularly nutritional information)
  • Complies with all applicable laws and regulations

Recipe and Photo Content

When you share recipes or food photos:

  • You confirm you have the right to share the content
  • You give other users permission to view and use your shared recipes for personal use
  • You understand that shared content may be visible to other SuddenPlate users
  • You agree that we may use your photos for promotional purposes (with attribution)

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violating laws, regulations, or third-party rights
  • Impersonating any person or entity or misrepresenting your affiliation
  • Interfering with or disrupting the Service or servers
  • Attempting to gain unauthorized access to any portion of the Service
  • Using automated systems (bots, scrapers) to access the Service
  • Transmitting spam, chain letters, or unsolicited communications
  • Uploading viruses, malware, or harmful code
  • Harassing, threatening, or abusing other users
  • Posting hate speech, discriminatory content, or graphic violence
  • Using the Service for unauthorized commercial purposes
  • Reverse engineering, decompiling, or disassembling any portion of the Service
  • Collecting or harvesting user information without consent
  • Sharing false or misleading nutritional information

5. Intellectual Property

Our Property

The Service and its entire contents, features, and functionality (including but not limited to design, text, graphics, logos, icons, images, audio clips, software, and AI-generated content) are owned by SuddenPlate or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Property

You retain all rights to User Content you submit to the Service. However, by sharing content on the Service, you grant us and other users the licenses described in Section 3.

Trademarks

"SuddenPlate" and our logos are trademarks of SuddenPlate. You may not use these marks without our prior written permission.

Copyright Infringement

If you believe any content on the Service infringes your copyright, please contact us at legal@suddenplate.com with:

  • Identification of the copyrighted work
  • Identification of the infringing material and its location
  • Your contact information
  • A statement of good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate
  • Your physical or electronic signature

6. Disclaimer of Warranties

IMPORTANT HEALTH DISCLAIMER

SuddenPlate is a meal planning and nutrition tracking tool. It is NOT a substitute for professional medical, nutritional, or dietary advice. Always consult with qualified healthcare professionals before making dietary changes, especially if you have health conditions or allergies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding nutritional information accuracy
  • Warranties that AI-generated recipes are safe or suitable for your dietary needs

We do not warrant that:

  • Nutritional data is 100% accurate (data is AI-estimated and user-contributed)
  • Recipes are suitable for specific dietary restrictions or allergies
  • The Service will meet your specific requirements
  • Your User Content will be securely stored without loss
  • Defects in the Service will be corrected

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUDDENPLATTER SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from use or inability to use the Service
  • Damages resulting from reliance on nutritional information
  • Damages from unauthorized access to your account or User Content
  • Damages from errors, mistakes, or inaccuracies in content
  • Personal injury or property damage from use of the Service
  • Health issues arising from following recipes or nutritional guidance

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us at support@suddenplate.com or using the account deletion feature in the app.

Upon termination:

  • Your right to access and use the Service will immediately cease
  • We may delete your account and User Content
  • We may retain certain data as required by law or for legitimate business purposes
  • Provisions that by their nature should survive will survive termination

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except you may assert claims in small claims court if they qualify.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on the Service
  • Updating the "Last Updated" date
  • Sending you an email notification (if you've provided your email)
  • Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

Additional Legal Notes

  • Severability: If any provision is found unenforceable, the remainder shall continue in effect.

  • Assignment: You may not assign these Terms; we may assign them without restriction.
  • Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our control.
